Terms and Conditions

1. Acceptance of Terms

1.1 These Terms and Conditions ("Terms") govern your access to and use of the CMFAS E-Learning Service, including all content, features, applications, and software made available through the Service (collectively, the "Content").

1.2 By creating an account, completing a payment, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

1.3 If you do not agree to these Terms, you must not access or use the Service.

1.4 We may amend these Terms from time to time in accordance with section 14. Continued use of the Service following an amendment constitutes acceptance of the amended Terms.


2. Definitions

In these Terms, the following expressions have the meanings given below:


3. Account Registration and Access

3.1 To access most features of the Service, you must register for an Account by providing a valid email address and setting a password.

3.2 You are responsible for:

(a) providing accurate, current, and complete registration information;

(b) maintaining the confidentiality of your password;

(c) all activity that occurs under your Account;

(d) notifying us promptly of any unauthorised use of your Account.

3.3 You must be at least thirteen (13) years of age to register for an Account. We may require additional verification for users under the age of majority in their jurisdiction.

3.4 We reserve the right to refuse registration, suspend, or terminate any Account at our discretion, including where a User is found to have breached these Terms.


4. Subscription Plans, Pricing, and Currency

4.1 The Service is offered under the following subscription plans, the current details of which are published on the Service:

4.2 All prices are stated in Singapore Dollars (SGD) unless explicitly stated otherwise on the relevant payment page.

4.3 We may revise pricing and plan structures from time to time. Changes will apply to new subscriptions and renewals only; in-force subscriptions will continue at their original terms until expiry.

4.4 Payment is by bank transfer to the account details provided at checkout. Subscription access is activated after we verify receipt of payment, typically within one working day of confirmation.

4.5 We do not collect, process, or store credit or debit card numbers. Where third-party payment options are introduced, the relevant processor's terms will apply in addition to these Terms.


5. Licence Grant and Restrictions

5.1 Personal Licence

Subject to your compliance with these Terms and payment of applicable fees, the Operator grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Content solely for your own individual study purposes for the duration of your active Subscription.

5.2 Single-User Restriction

Each Subscription is a single end-user licence tied to one individual. Accounts are not transferable. You may access your Account from multiple devices, but only you may use it. Sharing of credentials, simultaneous use by multiple individuals, or transfer of an Account to another person is strictly prohibited.

5.3 Anti-Sharing Remedy

If we determine on reasonable grounds that an Account has been shared or used by more than one individual, we reserve the right to suspend or terminate the Account without refund.

5.4 Prohibited Acts

You must not, and must not permit any third party to:

(a) reproduce, copy, redistribute, publish, transmit, sell, or make the Content available to any third party in whole or in part;

(b) create derivative works of the Content;

(c) submit, input, feed, transmit, or otherwise make any part of the Content available to any third-party system or software, including artificial intelligence systems, large language models, machine-translation services, generative AI platforms, or any service that uses input for training, fine-tuning, or evaluation of machine-learning models;

(d) use any automated means, including web scraping, crawling, or systematic extraction tools, to access, index, or copy the Content or any portion of the Service;

(e) circumvent or attempt to circumvent any technical access control, rate limit, or security measure of the Service;

(f) reverse engineer, decompile, or disassemble any part of the Service except to the extent permitted by mandatory law;

(g) remove, obscure, or alter any copyright, trademark, or other proprietary notice;

(h) use the Service or Content for any unlawful purpose or in any manner inconsistent with these Terms.

5.5 Single-Source Verification

The Service may employ technical measures (including, but not limited to, session tracking, device fingerprinting, and concurrent-session detection) to detect breaches of section 5.2. Use of the Service constitutes consent to these measures, which are operated in accordance with our Privacy Policy.


6. Intellectual Property

6.1 All Content is the property of the Operator or its licensors and is protected under the Singapore Copyright Act 2021, the Trade Marks Act 1998, and applicable international treaties.

6.2 The original Content created by the Operator — including the platform software, user interface, design system, branding, original study notes, exam-trap commentary, chapter summaries, Chinese translations, mock-examination compilations, weighting logic, and scoring algorithms — is the exclusive intellectual property of the Operator.

6.3 Certain underlying examination materials, including verbatim questions and references to textbook content, are reproduced from their respective copyright holders, including the Singapore College of Insurance and named publishers. The Operator makes no claim of ownership to such third-party content; however, the compilation, presentation, commentary, and translation of such content remain the property of the Operator.

6.4 Trademarks, logos, and brand features appearing on the Service belong to the Operator or to their respective owners. Nothing in these Terms grants any right to use any trademark or brand feature without express written permission from its owner.

6.5 Breach of section 5 or this section 6 may give rise to claims under the Copyright Act 2021, the Computer Misuse Act 1993 (for unauthorised access, modification, or scraping), and equitable remedies including injunctive relief and damages.

6.6 Suspected infringement may be reported to the DPO at the contact details set out in our Privacy Policy.


7. User-Submitted Content

7.1 You may, from time to time, submit feedback, testimonials, suggestions, error reports, or other materials to us ("User Submissions"). Submission is voluntary.

7.2 By making a User Submission, you grant the Operator a non-exclusive, royalty-free, perpetual, irrevocable, sub-licensable, worldwide licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the User Submission for any reasonable business purpose, including service improvement and marketing.

7.3 You confirm that any User Submission you make:

(a) is your own original work or you have all necessary rights to grant the licence in section 7.2;

(b) does not infringe the rights of any third party;

(c) does not contain unlawful, defamatory, or harassing material.

7.4 We will not use your full name in connection with a User Submission for marketing purposes without your separate consent. We will not publish or share any identification number provided as part of a User Submission.


8. Modifications to the Service

8.1 The Service is provided on an evolving basis. We reserve the right at any time, and without notice or liability, to:

(a) modify, suspend, discontinue, or restrict access to any portion of the Service;

(b) introduce, change, or remove features;

(c) impose usage limits or other restrictions.

8.2 Where a material change to a paid feature affects in-force subscriptions, we will use reasonable efforts to provide advance notice or an equivalent alternative.


9. Accuracy and No Warranty

9.1 We use reasonable efforts to ensure that Content is accurate and up to date. However, the Service and all Content are provided "as is" and "as available" without any warranty, express or implied.

9.2 We do not warrant that:

(a) the Content will be free of errors or omissions;

(b) the Service will be uninterrupted, timely, or free of defects;

(c) the Service will meet your particular requirements;

(d) the Content reflects the most current state of regulation, examination requirements, or industry practice at all times.

9.3 Examination requirements, syllabuses, and underlying regulations are subject to change by the relevant authorities. You are responsible for verifying the current applicable requirements of any examination you intend to sit.

9.4 No advice or information obtained from the Service constitutes professional, financial, legal, or regulatory advice. The Service is a study aid only.


10. Limitation of Liability

10.1 To the maximum extent permitted by law:

(a) the Operator's total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you to the Operator under the relevant Subscription in the twelve (12) months preceding the event giving rise to the claim;

(b) the Operator shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of business, loss of data, loss of goodwill, or loss of opportunity, whether or not foreseeable.

10.2 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Singapore law, including liability for fraud, fraudulent misrepresentation, or personal injury caused by negligence.


11. Indemnity

11.1 You agree to indemnify and hold harmless the Operator, its directors, officers, employees, and agents from and against all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

(a) your breach of these Terms;

(b) your unauthorised use of the Content;

(c) any User Submission you make;

(d) any breach by you of applicable law.


12. Termination

12.1 We may suspend or terminate your access to the Service, immediately and without refund, if:

(a) you materially breach these Terms;

(b) we are required to do so by law or by a competent authority;

(c) continued provision of the Service to you would expose the Operator to legal or regulatory risk.

12.2 You may terminate your Account at any time by emailing the DPO. Termination does not entitle you to a pro-rata refund of pre-paid Subscription fees, save to the extent provided in the Refund Policy.

12.3 Sections that by their nature should survive termination (including intellectual property, limitation of liability, indemnity, and governing law) will survive.


13. Refunds

13.1 The Service operates on a no-refund policy, save in the limited circumstances set out in the published Refund Policy.

13.2 The Refund Policy forms part of these Terms. In the event of any inconsistency between the Refund Policy and these Terms, these Terms prevail.


13A. Pass Guarantee

13A.1 Where you purchase a Subscription under the Starter, Comprehensive, or GI Bundle plan and fail your first sitting of a CMFAS module covered by that Subscription, we will extend your access to the failed module by one (1) additional calendar month from the date your fail result is verified by us, subject to the conditions in section 13A.2 and 13A.3.

13A.2 The Pass Guarantee:

(a) is available only on the Starter, Comprehensive, and GI Bundle plans, and is not available on the Single plan or to Corporate Client candidates (whose terms are governed by the relevant corporate agreement);

(b) covers a maximum of two (2) failed modules per Subscription;

(c) applies to the first sitting only of each covered module taken during the active Subscription period;

(d) requires submission of the official SCI College of Insurance examination result indicating a Fail outcome, sent by email to the Data Protection Officer at the address in section 20, within thirty (30) calendar days of the exam sitting date;

(e) is non-transferable, has no cash value, and may not be exchanged for a refund or credit;

(f) does not entitle you to a refund of any portion of the Subscription fee.

13A.3 We reserve the right to decline a Pass Guarantee extension where, on reasonable evidence:

(a) the User did not make genuine use of the Service during the original Subscription period (for example, no recorded login activity, or no mock exam attempted in the failed module);

(b) the Subscription was acquired or used in breach of these Terms (including section 5);

(c) the fail result provided is incomplete, altered, or cannot be independently verified.

13A.4 Where a Pass Guarantee extension is granted, the extended access applies solely to the failed module identified in the result. Other modules included in the original Subscription continue under their original expiry date.


14. Changes to these Terms

14.1 We may amend these Terms from time to time. The "Effective Date" at the top of this document reflects the current version.

14.2 Where amendments are material, we will notify registered users by email at least fourteen (14) calendar days before the amendments take effect.

14.3 Continued use of the Service after the effective date of an amendment constitutes acceptance. If you do not accept the amended Terms, you may terminate your Account in accordance with section 12.2.


15. Privacy

15.1 Our processing of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.


16. Brand Ownership and Operating Entity

16.1 CMFAS E-Learning is operated by Stella Nexus Pte Ltd, a company incorporated in Singapore (UEN 202619843R).

16.2 Trademarks, branding, and design elements of the Service are owned by Stella Nexus Pte Ltd.


17. Images and Third-Party Marks

17.1 Any photographs or illustrative images of individuals appearing on the Service are used for illustrative purposes only. Such images may not depict the actual individual the image is intended to represent, and no representation as to identity is made.

17.2 All third-party trademarks and logos appearing on the Service are the property of their respective owners. Use of those marks on the Service does not imply endorsement or affiliation.


18. General

18.1 Entire agreement. These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and the Operator regarding the Service.

18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 No waiver. A failure or delay by the Operator in exercising any right under these Terms does not operate as a waiver of that right.

18.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations under these Terms in connection with a sale of business, restructuring, or similar corporate event.

18.5 Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any provision of these Terms.


19. Governing Law and Jurisdiction

19.1 These Terms are governed by and shall be construed in accordance with the laws of the Republic of Singapore.

19.2 You submit to the non-exclusive jurisdiction of the courts of Singapore for the resolution of any dispute arising out of or in connection with these Terms.
